About These Terms

These Terms of Use govern your access to and use of www.smartsettle.ai, including its webpages, content, forms, downloadable materials, demonstrations, tools, and related features, collectively, the "SmartSettle Site."

The SmartSettle Site is owned and operated by SmartSettle AI, Inc., together with its affiliates, referred to as "SmartSettle," "SmartSettle AI," "we," "us," or "our."

If you use the SmartSettle Site on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

We may revise these Terms from time to time by posting an updated version on the SmartSettle Site. Your continued use of the SmartSettle Site after updated Terms become effective constitutes your acceptance of those changes.

Separate Agreements

Certain SmartSettle products, services, software, proofs of concept, demonstration environments, customer portals, integrations, application programming interfaces, or implementation services may be governed by a separate written agreement.

If a separate agreement applies, that agreement will control in the event of a conflict with these Terms.

These Terms apply primarily to the public SmartSettle Site and do not replace any customer, licensing, subscription, confidentiality, data-processing, consulting, or services agreement.

Informational Use Only

The SmartSettle Site provides general information about SmartSettle, its technology, products, services, personnel, events, industry views, and activities in the post-trade and financial-services industries.

The SmartSettle Site is provided for general informational and business-development purposes only.

Nothing on the SmartSettle Site constitutes investment, trading, legal, tax, accounting, compliance, regulatory, custody, clearing, brokerage, or settlement advice.

Nothing on the SmartSettle Site constitutes an offer or solicitation to buy or sell any security or financial instrument, or a recommendation concerning any transaction, counterparty, settlement process, investment strategy, or regulatory decision.

SmartSettle does not guarantee that any transaction will settle successfully or that any settlement fail, cash break, reconciliation issue, penalty, claim, buy-in, overdraft, or operational loss will be prevented, identified, corrected, or resolved.

You are responsible for conducting your own assessment and obtaining appropriate professional advice before making any investment, operational, regulatory, legal, compliance, technology, or business decision.

The SmartSettle Site may describe current functionality, planned capabilities, integrations, product roadmaps, development initiatives, artificial intelligence features, workflow automation, predictive analytics, and future product coverage.

Permitted Use

Subject to these Terms, SmartSettle grants you a limited, revocable, non-exclusive, non-transferable right to access and use the SmartSettle Site for lawful internal business and informational purposes.

You may download or print a reasonable amount of publicly available content for internal reference, provided that you do not modify it, remove proprietary notices, distribute it commercially, or suggest that SmartSettle endorses you or your organization.

No other rights are granted.

Prohibited Use

Except with SmartSettle's prior written permission, you may not copy, reproduce, republish, sell, license, distribute, modify, frame, mirror, embed, or commercially exploit the SmartSettle Site or its content.

You may not use the SmartSettle Site or its content to create a competing product, database, report, benchmark, index, information service, or commercial offering.

You may not reverse engineer, decompile, disassemble, or attempt to derive any source code, model, algorithm, system, method, workflow, or underlying technology.

You may not use bots, crawlers, spiders, scrapers, scripts, artificial intelligence agents, or other automated tools to access, monitor, extract, harvest, or systematically collect content or data from the SmartSettle Site.

You may not use SmartSettle content to train, test, evaluate, fine-tune, or improve any artificial intelligence or machine-learning system without prior written permission.

You may not bypass security controls, probe vulnerabilities, interfere with operation of the SmartSettle Site, introduce malicious code, misrepresent your identity, impersonate another party, or use the SmartSettle Site in violation of law, contract, confidentiality obligations, or third-party rights.

You may not use SmartSettle's names, logos, trademarks, screenshots, product descriptions, or branding without permission or imply that SmartSettle has approved, sponsored, certified, or endorsed any person, institution, product, service, or transaction.

Information You Submit

The SmartSettle Site may allow you to submit information through contact forms, demonstration requests, event registrations, newsletter forms, employment forms, or other communications.

You represent that any information you submit is accurate, lawful, and provided with proper authority and permission.

You must not submit passwords, account credentials, private keys, material nonpublic information, confidential trade data, settlement instructions, securities positions, transaction-level customer information, bank information, personal financial information, regulated data, or other sensitive information through a general website form.

Submitting information through the SmartSettle Site does not create a confidential, fiduciary, advisory, or contractual relationship unless SmartSettle expressly agrees otherwise in writing.

Artificial Intelligence Tools

The SmartSettle Site may include artificial intelligence-enabled tools, demonstrations, chatbots, virtual assistants, predictive tools, or other automated features, collectively, "AI Tools."

Any response, prediction, classification, summary, alert, analysis, or other result generated by an AI Tool is referred to as "AI Output."

AI Output is provided for general informational or demonstration purposes unless otherwise governed by a separate written agreement.

AI Output may be inaccurate, incomplete, outdated, misleading, or unsuitable for a particular purpose. You are responsible for independently reviewing and verifying AI Output before relying on it.

AI Output must not be used as the sole basis for a trading, investment, legal, regulatory, compliance, credit, risk, settlement, employment, or other significant decision. Appropriate human review and independent judgment must always be applied.

You may not use an AI Tool for unlawful, discriminatory, deceptive, harmful, or unethical purposes, to bypass safeguards, to evade legal or operational controls, or to extract proprietary models, logic, prompts, algorithms, or system instructions.

You are responsible for any information submitted to an AI Tool. Unless SmartSettle expressly provides an approved secure environment under a separate agreement, you must not submit confidential information, personal data, material nonpublic information, trade data, transaction information, settlement instructions, credentials, customer records, or regulated data.

Prompts and AI Output may be stored, accessed, or reviewed by SmartSettle and its service providers for purposes of operating, maintaining, securing, evaluating, and improving the applicable AI Tool, subject to SmartSettle's Privacy Policy and any applicable separate agreement.

Intellectual Property and Trademarks

The SmartSettle Site and its content, including text, graphics, designs, software, workflows, interfaces, documentation, models, algorithms, databases, videos, images, presentations, trademarks, logos, and other materials, are owned by or licensed to SmartSettle and are protected by intellectual-property laws.

SmartSettle retains all right, title, and interest in and to the SmartSettle Site, its content, technology, products, software, methods, branding, and proprietary information.

SmartSettle AI, SmartSettle, The Resolution Roundtable, related logos, product names, and branding are trademarks, service marks, trade names, or proprietary identifiers of SmartSettle or its licensors.

Third-party names, trademarks, platforms, systems, institutions, and services referenced on the SmartSettle Site remain the property of their respective owners.

A reference to a third party does not imply sponsorship, approval, affiliation, certification, or endorsement unless expressly stated.

Third-Party Links and Services

The SmartSettle Site may contain links to third-party websites, platforms, products, or services.

SmartSettle does not control and is not responsible for third-party content, security, availability, accuracy, privacy practices, terms, products, or services.

Your use of a third-party website or service is at your own risk and is governed by that third party's terms and policies.

Disclaimers

THE SMARTSETTLE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTSETTLE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, RELIABILITY, SECURITY, AND TIMELINESS.

SMARTSETTLE DOES NOT WARRANT THAT THE SMARTSETTLE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY CONTENT, PRODUCT DESCRIPTION, AI OUTPUT, OR OTHER INFORMATION WILL BE COMPLETE, CURRENT, ACCURATE, OR SUITABLE FOR YOUR PURPOSES.

SMARTSETTLE DOES NOT GUARANTEE THAT ANY SETTLEMENT FAILURE, EXCEPTION, CASH BREAK, CLAIM, PENALTY, BUY-IN, LOSS, OR OTHER OPERATIONAL ISSUE WILL BE PREVENTED, IDENTIFIED, OR RESOLVED.

YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SMARTSETTLE SITE AND ITS CONTENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTSETTLE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, ADVISERS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, DATA, TIME, GOODWILL, TRADING LOSSES, SETTLEMENT LOSSES, PENALTIES, BUY-IN COSTS, CLAIMS, OVERDRAFT COSTS, BORROWING COSTS, BUSINESS INTERRUPTION, OR REPUTATIONAL DAMAGE.

THIS LIMITATION APPLIES TO CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SMARTSETTLE SITE, ITS CONTENT, AI TOOLS, AI OUTPUT, THIRD-PARTY SERVICES, OR YOUR RELIANCE ON ANY INFORMATION, REGARDLESS OF THE LEGAL THEORY ASSERTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTSETTLE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SMARTSETTLE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless SmartSettle and its affiliates, directors, officers, employees, contractors, advisers, agents, licensors, and service providers from claims, liabilities, losses, damages, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of your use of the SmartSettle Site, information you submit, your violation of these Terms, your violation of law, or your violation of a third party's rights.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

You and SmartSettle agree that the state and federal courts located in New York County, New York will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the SmartSettle Site.

You consent to the personal jurisdiction and venue of those courts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SMARTSETTLE EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SMARTSETTLE SITE.

Privacy

SmartSettle's collection and use of personal information in connection with the SmartSettle Site is described in the SmartSettle Privacy Policy.

General

If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary or removed, and the remaining provisions will remain in effect.

SmartSettle's failure to enforce a provision is not a waiver of its right to enforce that provision later.

Certain pages, tools, demonstrations, downloads, or services may be subject to additional terms. If those additional terms conflict with these Terms, the additional terms will control with respect to the applicable feature or service.

These Terms, together with the Privacy Policy and any applicable additional terms, constitute the entire agreement concerning use of the public SmartSettle Site.
